Terms of service

These terms govern the use of TagoZago (the "Service"), provided by Medula S.r.l., Via A. Mammucari 32, Roma, P.IVA 10346061004 ("Medula"), to anyone who creates an account (the "Customer"). By accessing the Service, the Customer accepts these terms and the Privacy policy.
1. The Service
TagoZago allows users to connect Instagram Business or Creator accounts, import their posts, link products to the images ("tags") and publish on their own website a widget in which each tag leads to the product page. The Service also includes widget usage statistics and, in the plans that provide for it, a product catalog feed for Google Merchant Center and Meta.
The Service is intended for businesses and professionals, who use it in the course of their business or professional activity.
2. Account and access
- Access is via a Facebook account. Connecting an Instagram account requires a Business or Creator account linked to a Facebook Page managed by the Customer.
- The Customer is responsible for the activities carried out through its account and by the people it invites to its workspace, and chooses their roles (owner, administrator, member).
- The Service depends on Meta's platforms and APIs. If Meta changes or restricts access, some features may change or become unavailable. Medula is not liable for such changes, but undertakes to adapt the Service where possible.
3. Plans, payments and renewal
- The Service is available on the free plan (Free) and on paid plans (Pro, Agency), with the limits and prices shown on the Plan page of the dashboard. Prices are exclusive of VAT, unless otherwise stated.
- Payments are handled by Stripe. The subscription, whether monthly or annual, renews automatically at the end of each term, and is charged to the registered payment method.
- The Customer may change plan or cancel at any time from the dashboard (Plan → Manage subscription). Cancellation takes effect at the end of the period already paid for. No refunds are given for partial periods, except as required by law. Plan changes made during a billing period are prorated.
- If a payment fails, Stripe retries the charge and the plan remains active for a grace period. If payment is not completed, the workspace reverts to the Free plan.
- Downgrading to a lower plan does not delete any content. However, no content can be added beyond the limits of the new plan, only the Instagram accounts within the limit are updated, and reserved features (for example the catalog feed) are suspended. Beyond the included monthly views the widget continues to work, but displays the TagoZago branding.
- Medula may change its prices with at least 30 days' notice. Changes apply from the next renewal, and the Customer may cancel before they take effect.
4. Customer obligations
The Customer undertakes to:
- connect only accounts and Pages it is entitled to manage, and comply with Meta's and Instagram's terms and policies;
- hold the rights to the content it imports and publishes, including images, trademarks and data of people depicted, and provide accurate product information (prices, availability, links);
- not use the Service for unlawful or misleading content or content that infringes third-party rights, nor to send automated traffic, circumvent plan limits or compromise the security of the Service;
- inform visitors to its website, in its own privacy policy, of the use of the TagoZago widget (see section 3 of the Privacy policy).
5. Content and intellectual property
- The Customer's content (posts, images, products, data) remains the property of the Customer. The Customer grants Medula a limited licence to store, process and display it for the sole purpose of providing the Service, for the duration of the relationship.
- The software, the TagoZago brand and the widget are the property of Medula. The Customer receives a non-exclusive, non-transferable right of use for the duration of the subscription. Copying, decompiling or reselling them is not permitted.
6. Data protection: Medula as processor
For the personal data contained in the Customer's content and for widget statistics, the Customer is the controller and Medula is the processor pursuant to Art. 28 GDPR. By accepting these terms, Medula undertakes to:
- process the data only to provide the Service and in accordance with the Customer's instructions, including those given through the dashboard features;
- ensure that persons authorised to process the data are bound by confidentiality;
- adopt appropriate security measures: encryption of connections and tokens, separation of data by workspace, backups;
- engage only the sub-processors listed in the Privacy policy, informing the Customer of any changes, to which the Customer may object by withdrawing from the Service;
- assist the Customer in responding to data subject requests and in handling any personal data breaches, notifying them without undue delay;
- delete the data when the workspace is closed, subject to retention obligations required by law;
- make available the information necessary to demonstrate compliance with these obligations.
7. Service availability
Medula undertakes to keep the Service available and operational, but does not guarantee any minimum service level (SLA). There may be interruptions due to maintenance, updates or external causes, such as Meta's platforms or infrastructure providers. Significant scheduled maintenance will be announced where possible.
8. Liability
The Service is provided "as is". To the extent permitted by law, Medula's total liability to the Customer is limited to the amount paid by the Customer in the 12 months preceding the event. Medula is not liable for indirect damages such as loss of profits or loss of sales. These limitations do not apply in cases of wilful misconduct or gross negligence (Art. 1229 of the Italian Civil Code).
The Customer shall indemnify Medula against any third-party claims arising from content or products published by the Customer or from breach of these terms.
9. Suspension and termination
- The Customer may terminate the relationship at any time by cancelling the subscription and deleting the workspace or the account from the dashboard.
- Medula may suspend or terminate access in the event of a serious breach of these terms, unlawful use or a security risk. Except in urgent cases, it will give prior notice allowing the Customer to remedy the situation.
- Upon termination, data is deleted as described in the Privacy policy.
10. Changes to these terms
Medula may update these terms. Material changes will be communicated at least 30 days in advance by email or in the dashboard. If the Customer does not accept them, it may withdraw before they take effect.
11. Governing law and jurisdiction
These terms are governed by Italian law. The Court of Rome (Foro di Roma) has exclusive jurisdiction over any dispute.
